1. Acceptance & Eligibility

By subscribing to or using the platform you agree to these terms and to our Privacy Policy. You must be legally authorised to represent the subscribing entity and be 18 years or older.

2. Definitions

• Platform: the PingTact software service and everything related to it.
• Subscriber / Client: the entity or person holding an account on the platform.
• User: any person using the account (admin or operator).
• Recipient: the person to whom messages are sent via WhatsApp.

3. Service Description

The platform provides tools to manage business messaging via the WhatsApp Business API, including: bulk template campaigns, a team inbox, auto-reply and chatbot, contact and group management, and reports and analytics. The platform is a technical intermediary and does not own or control the WhatsApp service provided by Meta.

4. Account & Security

You are responsible for the confidentiality of your login credentials and for all activity under your account. You must notify us immediately of any unauthorised use. We may suspend an account if we suspect it has been compromised.

5. Subscriptions, Fees & Renewal

The service is offered in subscription plans with limits on users and monthly messages per the agreed plan. Fees are paid in advance, and subscriptions renew manually or as agreed. The service stops when a subscription expires without renewal. Fees paid for prior periods are non-refundable except as required by law or as agreed in writing.

6. Acceptable Use & Prohibitions

You agree not to use the platform to:

• Send spam or messages to recipients who have not given consent.
• Send content that violates laws, public morals, or the rights of others.
• Engage in fraud, deception, or impersonation of another party.
• Attempt to hack, disrupt, or gain unauthorised access to the platform or data.
• Violate Meta's and WhatsApp's business policies and terms of use.

7. Compliance With WhatsApp/Meta Policies & Consent

You are fully responsible for complying with WhatsApp Business and Meta policies, obtaining recipients' consent before messaging them, and honouring opt-out requests. Any suspension or restriction imposed by Meta on your number or templates is outside the platform's responsibility.

8. Data & Content Ownership

Your data, contacts, and message content remain yours. You grant us a limited licence to process them solely to operate the service. Intellectual property rights in the platform, its software and trademarks remain ours.

9. Availability & Disclaimer

We make reasonable efforts to keep the service continuously available, but it is provided "as is" without express or implied warranties of being uninterrupted or error-free. The service may be affected by factors beyond our control such as Meta or provider outages.

10. Limitation of Liability

To the extent permitted by law, the platform is not liable for any indirect, consequential, or lost-profit damages arising from use or inability to use the service. Our total liability shall not exceed the fees you paid during the three months preceding the event.

11. Indemnification

You agree to indemnify the platform against any claims or damages arising from your breach of these terms, the law, or third-party rights, including sending messages without recipients' consent.

12. Suspension & Termination

We may suspend or terminate your account upon breach of these terms or the law, or non-payment of fees. You may terminate your subscription at any time; outstanding fees remain payable.

13. Governing Law & Disputes

These terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. The competent judicial authorities in the Kingdom have jurisdiction over any dispute arising from them, after attempting amicable settlement.

14. Force Majeure

The platform is not liable for any failure resulting from circumstances beyond its control, such as disasters, network outages, authority decisions, or service-provider failures.

15. Changes to These Terms

We may update these terms and will revise the "Last updated" date. Your continued use constitutes acceptance of the updated version.
